1. Acceptance of Terms

By creating an account or using BAIRE ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. The Service is operated by MW4 Digital LLC ("Company", "we", "us", or "our").

2. Description of Service

BAIRE is a context-aware Accounts Receivable (AR) automation and collections management platform. It connects to accounting software, CRM systems, payment gateways, and local invoice files to synthesize debtor behavior profiles and generate relationship-aware email and SMS follow-up communications subject to user approval.

3. SMS Terms & Conditions

These terms govern text messaging communications initiated through the BAIRE platform.

Program / Brand Name: BAIRE by MW4 Digital LLC.

Service Description: BAIRE sends transactional accounts receivable text messages, payment reminders, invoice summary links, and account status updates on behalf of participating businesses to their authorized customer contacts.

Rates: Message and data rates may apply. Check with your wireless carrier for details on your plan's messaging charges.

Frequency: Message frequency varies based on the status of your open account, scheduled invoice due dates, and direct communications with the billing business.

Help & Support: For assistance, Text HELP for assistance, reply HELP to any message received, or email our support desk at support@baire.app.

Cancellation / Opt-Out: You may opt out of receiving SMS notifications at any time. Text STOP to unsubscribe. After texting STOP, you will receive a single confirmation message confirming your opt-out, and no further SMS messages will be sent to that number unless you re-subscribe.

Carriers are not liable for delayed or undelivered messages. T-Mobile and other carriers do not guarantee message delivery.

4. Account Responsibilities

You are responsible for maintaining the confidentiality and security of your account credentials. You must be at least 18 years of age to use the Service. You agree to provide accurate, current contact and business billing information.

You are solely responsible for ensuring that any phone numbers and email addresses you upload or connect to BAIRE have received appropriate legal authorization to receive account notifications and billing communications.

5. Subscriptions, Billing, and Fair-Use AI Guardrail

The Service is offered under four distinct tiers: The $0 Sunday Night Rescue Free Trial (up to 14 days, 5 Active Overdue Invoices, and 2 Smart Promise-Date Alarms), The Solo Operator ($49/month or $420/year billed annually), The Growth Fleet / Pro ($99/month or $840/year billed annually), and The Bookkeeper Partner Desk ($249/month). Paid plans are billed securely via Stripe. You may cancel your subscription with one click at any time; cancellation takes effect at the end of the current billing cycle.

Fair-Use AI Guardrail: Paid subscriptions include generous fair-use AI drafting (up to 200 custom draft generations/regenerations per month per organization; up to 500 per month on The Bookkeeper Partner Desk).

We reserve the right to adjust pricing with 30 days advance notice to active subscribers.

6. Acceptable Use & Compliance

You agree not to:

  • Use the Service to transmit unsolicited commercial marketing spam or violate the Telephone Consumer Protection Act (TCPA)
  • Send harassing, fraudulent, or unlawful debt collection messages in violation of the Fair Debt Collection Practices Act (FDCPA)
  • Reverse-engineer, copy, or exploit any portion of the proprietary BAIRE software engine
  • Upload malicious scripts or attempt to compromise server infrastructure
  • Resell, sublicense, or rent access to the platform without express written authorization

7. Your Data & Privacy

You retain 100% ownership of all financial records, invoices, and customer contact data you connect to or upload to BAIRE. By using the Service, you grant MW4 Digital LLC a limited license solely to process and display your data to provide the Service. 8. AI-Generated Output & Approval Responsibility

BAIRE provides suggested communication drafts and debtor behavior evaluations for informational and operational assistance only. You retain final authority and responsibility for reviewing, approving, editing, or sending any communications generated through the platform. AI output does not constitute legal or formal financial advice.

9. Third-Party Services

The Service integrates with third-party software including Twilio, Resend, Stripe, QuickBooks, Jobber, and Google Sheets. Your relationship with those providers is governed by their respective terms of service. We are not responsible for downtime, API deprecations, or transmission failures caused by third-party networks.

10. Limitation of Liability

To the maximum extent permitted by applicable law, MW4 Digital LLC shall not be liable for any indirect, incidental, special, punitive, or consequential damages resulting from lost profits, service interruptions, or collection disputes. Our total aggregate liability shall not exceed the amounts paid by you to BAIRE in the 3 months preceding the claim.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to conflict of law principles.
